Welcome to Matcha.
These Terms of Service ("Terms") govern your access to and use of the Matcha mobile application, website and related services (the "Services"), operated by Pixel8 Inc., Ontario, Canada ("Matcha," "we," "us," or "our").
By creating an account or using Matcha, you agree to these Terms and to our Privacy Policy and Community Guidelines. If you do not agree, do not use Matcha.
You must be at least 18 years old to create or use a Matcha account. By using Matcha, you represent that:
Matcha is not intended for minors.
You agree to provide information that is accurate and not materially misleading. You are responsible for maintaining the security of your account and for activity occurring through it.
You may not:
Contact us promptly if you believe someone has accessed your account without authorization.
Matcha provides tools for discovering and communicating with other people. We do not guarantee:
Matching systems, recommendations, scores, Today's Brew selections and other discovery features are tools intended to facilitate introductions. They are not guarantees or assessments of any person's character, compatibility, safety or suitability. Use your own judgment when interacting with other users.
Matcha allows users to privately express varying levels of interest in other profiles. Individual numerical scores are private and are not disclosed to the person being scored. Matcha may use scores, preferences and other interactions to determine potential matches and recommendations.
A score is a personal expression of interest within Matcha. It is not an objective rating of a person's attractiveness, worth, desirability or character.
You may not attempt to circumvent Matcha's systems to obtain another user's private score or other private information.
You retain ownership of photographs, text, messages and other content you submit to Matcha ("User Content").
You grant Matcha a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, process and otherwise use your User Content as reasonably necessary to operate, provide, secure and improve the Services. For publicly visible profile content, this licence includes displaying that content to other users as part of Matcha.
This licence ends when your content is deleted, except where continued retention is reasonably necessary for legal, safety, security or technical purposes.
You represent that you have the necessary rights to upload your User Content and that doing so does not violate another person's rights.
You may not use Matcha to:

Matcha is a venue for meeting people; we are not a party to, and are not responsible for, the interactions between users, whether online or offline.
Matcha cannot conduct a complete background investigation of every person using the Service and cannot guarantee the identity, intentions or conduct of any user. A verification badge indicates only that a user completed our liveness/selfie check; it is not a guarantee of anyone's identity, character or safety.
You are solely responsible for your interactions with other users. Take reasonable precautions when communicating with or meeting someone: consider meeting in a public place, telling someone you trust where you're going, and arranging your own transportation. Never send money or financial information to someone because you met them through Matcha. If you believe someone poses an immediate danger, contact local emergency services.
You can report or block users through Matcha.
Release. To the maximum extent permitted by applicable law, you assume all risk arising from your interactions with other users, and you release Pixel8 Inc. and its affiliates, and their respective directors, officers, employees and agents, from any and all claims, demands, damages, losses or liabilities of every kind — known or unknown — arising out of or in any way connected with disputes, interactions, communications or meetings between you and any other user. This release does not apply to any liability that cannot lawfully be released under applicable law.
We may investigate activity that potentially violates these Terms or our Community Guidelines. Depending on the circumstances, we may: remove content; limit features; issue warnings; restrict account visibility; suspend an account; terminate an account; prevent creation of additional accounts; or take other reasonable safety measures.
We may take action based on information available to us, including user reports and activity on the Service. We are not obligated to disclose information that would compromise another person's privacy, our safety systems or an investigation.
Matcha may offer an auto-renewing subscription, Matcha Reserve, and consumable paid features such as Espresso Shots and First Moves. Prices and included features are shown before purchase.
Purchases are processed by Apple through the App Store and are also subject to Apple's applicable payment terms. Auto-renewable subscriptions renew unless cancelled through your Apple account settings at least 24 hours before the end of the current period, in accordance with Apple's rules.
Deleting Matcha or deleting your Matcha account does not automatically cancel an App Store subscription — you must cancel it in your Apple subscription settings.
Consumable features (such as Espresso Shots and First Moves) are not refundable once used and, per Apple's rules, are not restorable once consumed. Except where required by law or Apple's policies, payments are non-refundable. We may modify paid features or pricing on a going-forward basis; changes to existing subscriptions will be handled in accordance with applicable platform rules and law.
Matcha, including its name, trademarks, logos, interface, visual design, software, graphics and original content, is owned by Pixel8 Inc. or its licensors and is protected by applicable intellectual-property laws. These Terms do not grant you ownership of Matcha or its intellectual property. You may not reproduce, distribute, modify, sell or exploit Matcha except as expressly permitted by us or applicable law.
Matcha may rely on or link to services operated by third parties (for example, Apple and our other service providers). Their products and services may be governed by separate terms and privacy policies. We are not responsible for third-party services that we do not control, subject to applicable law.
You may stop using Matcha at any time and may delete your account through the app (Profile → Delete account). We may suspend or terminate access where we reasonably determine that you violated these Terms or our Community Guidelines, created safety or legal risk, misused the Service, or where termination is otherwise permitted by law. Sections that by their nature should survive termination will continue to apply.
We work to keep Matcha available and functioning, but we do not guarantee uninterrupted or error-free operation. Features may change as Matcha evolves. We may modify, suspend or discontinue parts of the Service, subject to applicable legal and contractual requirements.
To the maximum extent permitted by applicable law, Matcha is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title and non-infringement.
We do not warrant that Matcha will always be secure, uninterrupted or error-free, or that information provided by users will always be accurate. Nothing in these Terms excludes warranties, rights or remedies that cannot lawfully be excluded under applicable consumer-protection law.
To the maximum extent permitted by applicable law:
Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under applicable law, including certain rights under consumer-protection legislation, or liability for fraud, gross negligence or willful misconduct where such limitation is not permitted.
To the extent permitted by applicable law, you agree to indemnify and hold harmless Pixel8 Inc. and its affiliates from third-party claims, damages, losses or expenses (including reasonable legal fees) arising from your unlawful use of Matcha, your User Content, your interactions with other users, or your material violation of these Terms.
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. Subject to any mandatory rights available to you under the laws where you live, you agree that the courts located in Ontario, Canada will have jurisdiction over disputes arising out of or relating to these Terms.
We may update these Terms as Matcha changes. If changes are material, we will provide reasonable notice as required by law. Continued use of Matcha after updated Terms become effective constitutes acceptance where permitted by law.
